Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Wizvend ("Company", "we", "us", or "our") concerning your use of our website at wizvend.com and our Amazon growth services. By accessing the site or engaging our services, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to these Terms in full.

If you are using our services on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Wizvend provides Amazon marketplace growth services including, but not limited to:

• Amazon PPC campaign management and optimisation
• Amazon SEO and content strategy
• Product listing optimisation and A+ Content creation
• Amazon account management and compliance support
• Brand growth strategy and marketplace expansion
• Amazon performance audits and analytics reporting

The specific services, deliverables, and timelines for your engagement are defined in your individual Service Agreement or Statement of Work. In the event of any conflict between these Terms and your Service Agreement, the Service Agreement shall prevail.

To enable us to deliver our services effectively, you agree to:

• Provide timely access to your Amazon Seller Central account and any other platforms required
• Supply accurate and complete information about your products, brand, and business goals
• Respond to requests for information, feedback, or approvals within agreed timeframes
• Ensure your Amazon account remains in good standing and compliant with Amazon's policies
• Not share Wizvend strategy documents, proprietary frameworks, or account data with third parties
• Pay invoices in accordance with the agreed payment schedule

Failure to meet these obligations may impact service quality and delivery timelines. Wizvend shall not be liable for underperformance resulting from a client's failure to cooperate.

You may not access or use the site or our services for any purpose other than those for which we make them available. The following activities are strictly prohibited:

• Using our services to violate Amazon's Terms of Service or community guidelines
• Engaging in review manipulation, fraudulent orders, or any black-hat marketplace tactics
• Reverse engineering, copying, or reproducing Wizvend's proprietary tools and processes
• Impersonating Wizvend or any Wizvend employee
• Using the site to distribute malware, spam, or phishing content
• Attempting to gain unauthorised access to our systems or other clients' data
• Engaging in any activity that could damage, disable, or impair our website or servers

Unless otherwise indicated, the site and its contents, including text, graphics, logos, images, software, and underlying code, are owned by or licensed to Wizvend and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the site for personal or business purposes in connection with our services.

Content created for your brand (listings, A+ Content, ad copy) becomes your property upon full payment. Wizvend retains ownership of all underlying methodologies, templates, and tools used to produce that content.

You may not reproduce, republish, upload, post, or otherwise distribute any part of our site without our prior written consent.

THE SITE AND OUR SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WIZVEND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee specific results such as a particular revenue increase, ACoS improvement, or ranking position. Amazon's marketplace is subject to algorithm changes, competition, and external factors beyond our control. Our strategies are based on best practices and proven methodologies, but past performance does not guarantee future results.

We are not responsible for actions taken by Amazon against your Seller account, including suspensions, listing removals, or policy violations that occurred prior to or independent of our engagement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WIZVEND, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.

Our total cumulative liability to you for any claims arising under or related to these Terms or our services shall not exceed the total fees paid by you to Wizvend in the three (3) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

These Terms remain in effect for as long as you use our website or services. Either party may terminate the service engagement in accordance with the terms set out in your Service Agreement or our Cancellation Policy.

We reserve the right to suspend or terminate your access immediately, without notice, if you breach these Terms, engage in prohibited activities, or if required by law.

Upon termination, we will return or destroy your confidential information in accordance with your written instructions, subject to any legal retention requirements.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in Austin, Texas, USA, under the rules of the American Arbitration Association.

For clients based in the European Union, mandatory consumer protection provisions of your country of residence shall apply.
